WSA's Right To Modify WSATODAY

Indemnification:
USER represents and warrants that any material you post on WSAToday contains no defamatory, slanderous, libelous or otherwise unlawful matter which invades any privacy rights or which infringes upon any proprietary rights of any third party. User agrees to indemnify, hold harmless and defend WSA, its affiliates, and their respective officers, directors, and information providers from any and all liability, claims, costs and expenses and settlements, including but not limited to reasonable attorneys’ fees, resulting from or related to any violation of this Terms and Conditions, or in connection with any use or alleged use of WSAToday by you. WSA reserves the right to assume the exclusive defense and control, at its own expense, of any matter otherwise subject to indemnification by you.
Choice of Law/Jurisdiction
Except as may be prohibited by applicable law, USER hereby agrees and understands that this Agreement, its interpretation, performance, or any breach thereof, will be governed and construed in accordance with, and all questions with respect thereto will be determined by, the laws of the state of California without giving effect to principles of conflict of laws. Both parties agree to submit to personal jurisdiction in California, acknowledge that venue is proper in any state and Federal court in California, and that any cause of action or suit arising under or related to WSAToday or this Terms and Conditions agreement must be brought in a state or Federal court in Los Angeles County, California, to the exclusion of all others and USER expressly waives any objection with respect to the foregoing.
Miscellaneous
Section headings in this Terms and Conditions are for convenience only and are not to be utilized in construction or interpretation of this agreement. This Terms and Conditions and the WSAToday Privacy Policy, attached to and incorporated by reference herein, shall constitute the whole and entire agreement between WSA and USER, and will supersede any prior agreements, written or oral. This Terms and Conditions and the Privacy Policy cannot be amended or modified except by written instrument executed by WSA. A waiver of a breach by WSA in any one instance shall not constitute a waiver of any subsequent breach, whether or not similar. Should any provision of Terms and Conditions be held invalid or unenforceable by a court of proper jurisdiction that said provision will be deemed severed from this Agreement in such a jurisdiction only, and all remaining portions shall remain in full force and effect. WSA may provide notice to Users through any of the following methods: Electronic mail (e-mail); posting on WSAToday, U.S. mail or commercial carrier. All notices or other communications shall be considered effective on the date the e-mail or posting was sent or four days after first class mail has been deposited with the U.S. Postal Service or commercial carrier.
WSAToday may modify, change, suspend or discontinue all or any aspect of WSAToday at any time, without prior notice or liability.
